Welcome to the Arcadia Terms of Use (“Terms of Use” or “Terms”). These Terms of Use are entered into by and between users (“you”) and Arcadia Solutions, LLC (“Arcadia”, “our,” “we,” “us,” or the “Company”). These Terms of Use govern your access to and use of our websites, including, but not limited to, arcadia.io, our mobile sites and our other affiliated websites which link to these Terms (each a “Website” and collectively, “Websites”). These Terms do not apply to modules and applications which are governed by a subscription agreement entered into with Arcadia.

Please read these Terms of Use carefully before you use the Website. By accessing or using the Website you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy found at arcadia.io/privacy-policy, incorporated herein by reference. If you do not agree to these Terms of Use and the Privacy Policy, you must not access or use the Website.

The Website is not intended for children under 13 years of age – and for European residents, for children under 16 years of age. By using the Website, you represent and warrant that you meet the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the Website.

We reserve the right to withdraw or amend the Website and any material we make available through the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period.

No Collection of Sensitive Information

The Website does not collect Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) or other sensitive personal information. Indemnification

Governing Law and Jurisdiction

All matters relating to the Arcadia Services and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal law of The Commonwealth of Massachusetts without giving effect to any choice or conflict of law provision or rule (whether of The Commonwealth of Massachusetts or any other jurisdiction).

You expressly agree that exclusive jurisdiction for any dispute with Arcadia resides in the courts of Suffolk County, Massachusetts, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of Suffolk County, Massachusetts, in connection with any claim involving Arcadia. Use of the Website is unauthorized in any jurisdiction that does not give effect to these Terms of Use and all of the terms and conditions set forth herein.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS, THE WEBSITE OR THE CONTENT MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Class Action Waiver

YOU AND ARCADIA AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

Unless otherwise agreed to by Arcadia, the Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Arcadia with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
